3. GENERAL POLICIES

It is the policy of San Juan Car Co to sell its products to selected dealers for resale to retail customers. We strive to maintain high standards of product quality and customer service, and expect our dealers to assist us in this effort. We value our good relations with both our customers and our dealers, but reserve the right to cancel accounts in circumstances where the account's conduct is detrimental to the business and reputation of San Juan Car Co. San Juan Car Co also reserves the right to terminate accounts whose payment record varies from established terms. Each account is subject to acceptance by San Juan Car Co, and as such San Juan Car Co may for any reason reject any order or portion thereof. Whenever possible, San Juan Car Co will refer customers to the dealer nearest their vicinity, however, San Juan Car Co reserves the right to sell direct.

4. ACCOUNT QUALIFICATIONS

San Juan Car Co requires that its authorized accounts provide showroom displays. Proof of business ownership is required, including financial statement, tax exemption certificate, storefront photo, etc. No Internet stores.

5. HOW TO BECOME A DEALER

Any dealer who wishes to become an authorized San Juan Car Co dealer must first fill out a Dealer Application. This is not an application for credit, but an application for dealer privileges. Dealers will be notified of acceptance or rejection. To then be eligible for the maximum discount, a dealer must place an initial stocking order. Initial stocking order consists of one (1) each of all car kits or $1000.00 minimum net.

Dealers who have not qualified as San Juan Car Co dealers and wish to special order select items in small quantities for favored customers may do so as an Associate Dealer at a lesser discount.

6. DISCOUNT STRUCTURE

San Juan Car Co stocking dealers are entitled to a 30% discount on all San Juan Car Co. products, an additional 10% discount will be given for bulk pack kits consisting of 6 or more of a given kit.

Associate dealers will receive a 10% discount.

7. MINIMUM ORDER

Minimum order of $100.00 is required per shipment to any new or associate dealer account.

Minimum order of $25.00 is required per shipment to any authorized dealer account.

8. SHIPPING POLICY

All C.O.D., Credit Card, Open Account, and foreign orders including Alaska, Hawaii, Canada and Mexico, are shipped F.O.B., Durango, Colorado, at dealer's expense. Unless otherwise requested, our standard method of shipment is UPS. Customers will be invoiced for all shipping and insurance charges when nonstandard shipping is requested. Sorry, no drop shipments. Note: if you have not received any of your order within three weeks of placing it, please contact San Juan Car Co. as we may trace your order.

9. TERMS OF PAYMENT

You may pay by Visa or Master Card. Foreign orders should provide U.S. funds drawn on a U.S. bank, Visa or Master Card. San Juan Car Co reserves the right to establish or deny open credit to dealer accounts, to withhold shipments pending satisfaction of past accounts, to initiate any collection action deemed necessary and to deny or cancel dealership privileges with cause.

10. PRODUCT GUARANTEE

San Juan Car Co stands behind its product and warrants them to be free of defects in materials and workmanship. San Juan Car Co's sole obligation for products that prove to be defective will be repair, replacement, or refund, at San Juan Car Co.'s discretion, if defective products are returned within 90 days from receipt with a copy of original invoice. This warranty does not apply to products which have been subject to misuse, neglect, accident, or modification.

There are no express or implied warranties, in no event shall San Juan Car Co.'s liability exceed the buyer's purchase price as we cannot control the manner or use of our products after the sale and therefore cannot be responsible for any consequential or indirect damages.

11. FREIGHT DAMAGE

If you receive merchandise that has been damaged in transit, it is important to keep the shipping

carton, packing material, and parts intact. Contact San Juan Car Co to initiate a claim.

12. CONCLUSION

San Juan Car Co values its good relations with its dealers and realizes fully that a cooperative business partnership must exist if our products are to be sold and the customer satisfied. We will not knowingly act in any way to detract form the good reputation of any dealer and we expect and require the same consideration from our authorized accounts.
